The initial $1,500 investment serves as a downpayment that will be fully recouped by Lyfe Lending from VoicePanda's share of payouts once Cordova (or Clarity) disburses funds. This structure ensures alignment of interests and demonstrates VoicePanda's confidence in delivering results.
Revenue Split & Compensation Model
This performance-based compensation model aligns both parties' interests with successful client outcomes. Payouts are calculated as a percentage of the total enrolled debt amount, with VoicePanda receiving 3% and Lyfe Lending receiving the remainder according to the selected backend partner.

This revenue model ensures both partners are incentivized to maximize the value of enrolled debt while maintaining profitable operations. Sales agents receive a 1% commission ($10,000 in this example), while Lyfe Lending retains 3.5% ($35,000) as operational profit. Voice Panda will continue to reinvest their portion for consistent campaigns and call transfers to Lyfe Lending.

Contract Duration & Termination
Effective Date
Agreement begins immediately upon signing by both parties, with campaign setup commencing upon receipt of initial downpayment.
Initial Campaign Phase
The first week serves as the initial phase, with a minimum commitment to deliver 10-15+ qualified leads for Lyfe Lending's sales team.
Ongoing Service Period
Following the initial phase, the partnership continues on a rolling basis until terminated, maintaining lead delivery targets as agreed.
Termination Process
Either party may terminate with 30 days' written notice. Final settlements will include lead completion and payout reconciliation.
Confidentiality & Data Privacy
Proprietary Information Protection
Both parties agree to keep all campaign strategies, client data, and financial details confidential, requiring prior written consent for any third-party disclosure.
Regulatory Compliance
VoicePanda will adhere to all applicable data protection laws including CCPA and GDPR when handling personal information throughout the marketing and qualification process.
Secure Data Handling
Lyfe Lending will ensure the secure processing and storage of all client information received through the integration with their Debt Pay Pro platform.

Service Guarantee Policy
VoicePanda's Service Guaranteed Policy ensures Lyfe Lending's satisfaction by delivering a minimum of 10-15+ qualified leads weekly. Leads may be disputed within 7 days with specific reasoning, and valid disputes result in replacement leads at no cost. The initial $1,500 downpayment is fully recoupable from VoicePanda's share of backend payouts.
Force Majeure & Special Provisions
Force Majeure Clause
Neither party will be liable for delays or failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, technical failures, regulatory changes, pandemics, or other unforeseen events.
Downpayment Recoupment
The $1,500 initial investment will be fully recouped by Lyfe Lending from VoicePanda's share of payouts once Cordova or Clarity disburses funds. If the campaign terminates before full recoupment, VoicePanda will refund any unrecouped portion provided minimum lead delivery requirements were met.
Non-Refundable Costs
The downpayment covers campaign setup and operational costs and is non-refundable unless VoicePanda fails to deliver at least 10 qualified leads in the first week. In such cases, Lyfe Lending may request a partial refund proportional to the shortfall, subject to mutual agreement.
Probationary Period
The first 4 weeks of the partnership will serve as a probationary period to establish baseline marketing volume and conversion rates. This period allows both parties to gather data on campaign performance and make necessary adjustments to optimize results.
Partnership Reviews
Both parties agree to conduct frequent performance reviews throughout the partnership, with formal assessments scheduled at the end of the probationary period and quarterly thereafter. These reviews will evaluate lead quality, conversion rates, and overall ROI to ensure the agreement remains mutually beneficial.
Growth & Scaling Commitment
The ultimate goal of this partnership is to scale operations and grow revenue for both parties. As performance metrics stabilize and prove successful, VoicePanda and Lyfe Lending commit to exploring opportunities for expanding campaign reach, increasing lead volume, and enhancing conversion strategies through collaborative planning.

Lead Volume Commitment
VoicePanda will deliver minimum fifteen qualified leads daily to Lyfe Lending.
Termination Rights
Either party may terminate with written notice. All cleared payments will be disbursed through termination date.
Clawback Provision
Lead cancellations, fallouts, or chargebacks will result in appropriate clawbacks applied to VoicePanda.
The clawback provision includes a thorough review process where each lead cancellation, fallout, or chargeback is documented and assessed within 14 business days of occurrence. VoicePanda will have access to a shared dashboard tracking these instances, with detailed reasons for each clawback. Disputed clawbacks will undergo a joint review by representatives from both parties, with resolution typically occurring within 7 business days. The final clawback amount will be deducted from the next scheduled payment or invoiced separately if exceeding the current payment.
